Restructuring of an international construction materials group headquartered in Austria

turnover: € 520 million | employees: approx. 6,500

What it was about:

  • out-of-court restructuring of a multinational conglomerate with approx. 150 individual companies with refinancing the core group and separating non-core assets from the operating business
  • non-core investments becoming legally independent – from active support and preservation of corporate values to transaction capability and a complete exit
  • more than 20 international, holding company driven M&A transactions – including tax and legal carve-out / ring fencing of problematic cases, structured sales processes to document adequacy as well as negotiations and due diligence in crisis regions in a politically unstable environment
  • carrying out several judicial reorganization and insolvency proceedings for subsidiaries

  • simultaneous implementation of reorganization measures and development of an implementation-oriented measure reporting
  • preparation and execution of a structured sale of the individual assets
  • carrying out combined share and asset deals for the realization and repayment of loans

  • assuming financial and administrative functions for managing sales, development, and production processes, later extending to the entire company management
  • crisis management to ensure business operations and simultaneously revising the business plan for increasing the existing VC financing (> EUR 10m) or sale to a strategic partner

  • development of a reorganization concept for the group with five business units
  • short term execution of the reorganization steps to secure orders through intensive customer and supplier management during the crisis
  • ring fencing of potentially uncontrollable economic and legal risks within the group of companies
  • negotiation of the reorganization concept with owners and banks
